Welcome to https://gemlaunch.io, the website-hosted user interface (referred to as the "Interface" or "App") provided by Gemlaunch ("we", "our", or "us"). This Interface provides access to a decentralized protocol on public blockchains, including but not limited to Ethereum, which enables users to trade compatible digital assets ("the Gemlaunch Protocol" or "Protocol"). The Interface is one of several ways to access the Protocol.
To use the Interface, you must have a non-custodial wallet, which enables you to interact with public blockchains. The terms of service with your chosen wallet provider are separate from this Agreement ("Agreement").
This Agreement outlines the terms and conditions for accessing and using the Interface. Please read it carefully. By using or accessing the Interface, you acknowledge that you have read, understood, and agree to abide by this Agreement. If you do not agree, you are not permitted to use the Interface.
NOTICE: This Agreement includes a binding arbitration provision and a class action waiver that impact your rights in dispute resolution. Accessing and using the Interface signifies your acceptance of these terms.
Modification of this Agreement
Gemlaunch reserves the right to modify this Agreement at its discretion. Any modifications will be indicated by updating the date at the top of this Agreement and by maintaining the latest version on our website. Your continued use of the Interface signifies acceptance of these modifications. If you disagree with any changes, you must discontinue use of the Interface.
Eligibility
To use the Interface, you must be of legal age in your jurisdiction (e.g., 18 years old in the U.S.) and legally capable of forming binding agreements. By accessing or using the Interface, you represent and warrant that:
You are not subject to economic or trade sanctions by any governmental authority, nor are you listed on any prohibited or restricted parties lists, including those maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control.
You are not a resident or entity in a jurisdiction subject to comprehensive economic sanctions by the U.S.
Your use of the Interface complies with all applicable laws, and you will not use it to engage in illegal activities.
Proprietary Rights
Gemlaunch owns all intellectual property rights in the Interface, including but not limited to software, text, images, trademarks, copyrights, and patents. These rights are governed by applicable licenses and our Trademark Guidelines.
Additional Rights
We retain the right, though not the obligation, to:
Modify, substitute, or add to the Interface with or without notice to you.
Review, filter, delete, or remove any content from the Interface.
Cooperate with law enforcement, courts, or other authorities in responding to requests for information that you provide.
Privacy
When you use the Interface, we collect only your blockchain wallet address, completed transaction hashes, and token names and symbols. We do not collect personal identifiers (e.g., your name). However, third-party service providers may collect information from public sources. Gemlaunch does not control these providers’ data practices, and we recommend reviewing their privacy policies. We may share collected information with blockchain analytics providers solely to ensure the security and integrity of the Interface.
Please note that public blockchains may display transparency into your transactions, which is outside Gemlaunch's control.
Prohibited Activity
By accessing or using the Interface, you agree not to engage in or attempt the following:
Intellectual Property Infringement: Violating copyrights, trademarks, or other intellectual property rights.
Cyberattack: Compromising the security or functionality of any system, such as deploying viruses or denial-of-service attacks.
Fraud and Misrepresentation: Defrauding any individual or entity, including providing false information.
Market Manipulation: Engaging in practices that undermine market integrity, such as “rug pulls” or pump-and-dump schemes.
Securities and Derivatives Violations: Violating laws related to securities or derivatives trading.
Other Unlawful Conduct: Violating applicable laws, including restrictions under U.S. law.
Not Registered with the SEC or Any Other Agency
Gemlaunch is not registered with the U.S. Securities and Exchange Commission or any other regulatory body.
Non-Solicitation; No Investment Advice
Trades submitted through the Interface are considered unsolicited, initiated solely by you. Gemlaunch does not provide investment advice or solicit trades.
Non-Custodial and No Fiduciary Duties
Gemlaunch operates as a non-custodial platform, meaning you alone are responsible for managing your digital assets. This Agreement does not establish any fiduciary duty on our part. We disclaim and waive any potential fiduciary obligations to the fullest extent permitted by law.
Compliance and Tax Obligations
The Interface may not be accessible in all jurisdictions. By using the Interface, you are solely responsible for compliance with applicable laws and tax obligations. Your transactions may have tax implications, such as income or capital gains tax. It is your responsibility to determine and remit any applicable taxes.
Assumption of Risk
By using the Interface, you represent that you understand the risks associated with blockchain-based systems, including but not limited to market volatility, security vulnerabilities, and regulatory uncertainties. You acknowledge that:
Volatility: Digital asset markets are highly volatile and susceptible to changes.
Token Authenticity: Fake versions of tokens and tokens that falsely claim affiliation with projects exist.
Smart Contracts: Blockchain transactions are irreversible, and smart contract transactions execute automatically.
Transaction Costs: Costs and transaction speeds may fluctuate significantly.
Expert Mode: Trading in Expert Mode may expose you to additional risks, including price slippage and high costs.
In particular, you acknowledge and understand the intricacies of digital assets like BNB Token (BNB), stablecoins (e.g., USDC, USDT), and BEP-20 tokens on Binance Smart Chain. The Interface is non-custodial, meaning we do not control your assets or assume any responsibility for potential losses. By accessing and using the Interface, you accept full responsibility for all associated risks.
Gemlaunch disclaims responsibility for these risks. You agree to assume full responsibility for all risks associated with using the Interface.
